Issues related to the functioning of the capital market are primarily the processes of raising capital through the public market in the form of issuing shares or bonds, issues related to transactions on the stock market, and investments made by investment funds. Also important is the issue of regulations relating to entities that introduce instruments to trading on an organized market, in particular the requirements related to the entry into force of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse.
We offer:
- advisory services in the process of issuing financial instruments We advise business entities in connection with the issue of bonds, shares, and other securities, including the introduction of shares to trading on the Stock Exchange, the preparation of prospectuses, information memoranda, and other documents for the needs of public offers.
- ongoing legal services related to the Client’s functioning on the public market We assist Clients in fulfilling their information obligations and represent them in proceedings before the supervisory authority. We also offer support in the creation of incentive programmes.
- preparation and execution of transactions We have experience in supporting Clients in transactions of purchase and sale of shares or stocks. The Law Firm has participated in several proceedings related to investments in enterprises, both on the part of buyers and sellers. We also have extensive knowledge and experience in conducting comprehensive legal audits of business entities, including partnerships and capital companies. The purpose of the audit is to carry out a comprehensive verification of the compliance of the business entity’s activities with the generally applicable legal regulations and to assess the legal risk of the business.
